SMS Program Terms and Conditions

The following terms and conditions (“Mobile Terms”) apply to the &More SMS service (the “Service”) operated by Soda Health, Inc. (“Soda Health”, “we”, or “us”) in connection with the benefits offered by your sponsoring benefits organization (“Sponsor”). Through the Service, you may receive notifications about your account, including updated balance notifications, transaction alerts, updated funds and benefits notifications, and account reminders. Through the Service, you may also receive notifications about products, services, and activities you may be eligible for, such as retail discounts, rewards, social resources, health care reminders, and surveys.

The Service allows users to receive SMS/MMS mobile messages by affirmatively opting-in, such as: (a) at the point of online registration for Soda Health services, (b) by texting a keyword such as “BALANCE” or “REWARD” to 53746, (c) by calling Soda Health’s pre-recorded interactive voice response system, (d) by calling a Soda Health call center and opting in verbally with an agent, or (e) by clicking “opt in” within the member portal user preferences center. Regardless of the opt-in method you use to enroll in the Service, you agree that your use of the Service is governed by these Mobile Terms. We may modify or cancel the Service or any of its features without notice. We may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message and Data Rates may apply as provided by your wireless carrier’s service plan.

BY ENROLLING IN THE SERVICE, YOU AGREE TO RECEIVE RECURRING SMS AND MMS MOBILE MESSAGES SENT BY US TO THE TELEPHONE NUMBER YOU USED TO SIGN UP. SUCH MESSAGES INCLUDE RECURRING UPDATES, ALERTS, AND COMMUNICATIONS ABOUT THE AVAILABILITY OF SPONSOR SERVICES AND BENEFITS AND RELATED OFFERS, SURVEYS, AND TRANSACTIONS POWERED BY SODA HEALTH. YOU FURTHER AGREE THAT THESE MESSAGES MAY BE SENT USING AN AUTOMATIC TELEPHONE DIALING SYSTEM (“ATDS”), OTHER AUTOMATED SYSTEMS FOR THE SELECTION OR DIALING OF TELEPHONE NUMBERS, OR ANY OTHER MESSAGING TECHNOLOGY. YOUR CONSENT TO RECEIVE PROMOTIONAL MESSAGES VIA AN ATDS OR OTHER AUTOMATED SYSTEM FOR THE SELECTION OR DIALING OF TELEPHONE NUMBERS IS NOT REQUIRED (DIRECTLY OR INDIRECTLY) AS A CONDITION OF PURCHASING ANY PROPERTY, GOODS OR SERVICES.

Message frequency varies and we may change the frequency of the messages you receive at any time, including in response to your interactions with us. Text the keyword STOP to 53746 to unsubscribe at any time. When you opt-out, you agree we may send you an opt-out confirmation text message. If you have subscribed to other mobile message programs operated by Soda Health or your Sponsor and wish to unsubscribe, you will need to opt-out separately from each of those programs by following the instructions provided in their respective mobile terms. We may change any short code or telephone number we use to operate the Service at any time with notice to you. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

You agree that any phone number you provide us with to receive SMS or MMS communications is a valid mobile number that you are authorized to use to receive mobile messages.

The Service is offered on an “as-is”, “as-available” basis and may not be available in all areas or at all times and may not be supported by all wireless carriers. You agree that we, your Sponsor, T-Mobile, and all other wireless carriers that support the Service will not be liable for any failed, delayed, misdirected, or undelivered messages.

You further agree that any disputes between you and us arising out of your use of the Service or any messages sent via the Service shall be resolved in accordance with the dispute resolution procedures set forth in the arbitration provisions of the Soda Health End User Portal Terms of Service (“TOS”), which are incorporated herein by reference. NOTE THAT THE APPLICABLE DISPUTE RESOLUTION PROCEDURES INCLUDE AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. THE TOS ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ THE TOS CAREFULLY.

These Mobile Terms are drafted, and shall be interpreted, using US English. The US English interpretation shall control and supersedes any translation to or from another language.
